1.1. These terms and conditions (hereinafter "Terms") form the content of the licence agreement for the Stavario online application (hereinafter "Licence Agreement") concluded between Vím o všem s.r.o., Company ID: 06935338, VAT ID: CZ06935338, with its registered office at Smetanova 1249/6, 419 01 Duchcov, Czech Republic (hereinafter "Provider"), and the licensee (hereinafter "Licensee"). By concluding the Licence Agreement through registration the parties confirm that they agree with these Terms and will follow them.
1.2. The Stavario online application may only be used on the basis of a duly concluded Licence Agreement. The Licence Agreement is concluded by registration on the Provider's website.
1.3. These Terms are intended primarily for B2B relationships and the legal relationships arising from them are governed by Czech law. The parties agree, in accordance with Art. 3 of Regulation (EC) No 593/2008, that their contractual relationship is governed by Czech law. Mandatory consumer protection rules of the consumer's country of habitual residence remain unaffected (see also section 13 "Consumer addendum").

3. Licence terms
3.1. The Provider grants the Licensee a non-exclusive, territorially unlimited and non-transferable licence to use the Online Application, limited to the duration of the contractual relationship.
3.2. The licence entitles the Licensee to use the Online Application for its own needs, to the extent of the functionalities agreed in the Licence Agreement. The Licensee may grant access only to its employees, collaborators and to third persons who are end-customers of the Licensee.
3.3. The licence is granted for a fixed term. Unless agreed otherwise, the minimum duration of the licence is 12 months from the effective date of the Licence Agreement.
3.4. Upon expiry of the agreed Licence Period, the licence is automatically renewed for a period corresponding to the original Period. The automatic renewal does not occur if the Licensee gives written notice at least one month before expiry that it does not wish to renew.
3.5. The Licensee is not entitled to make the Online Application or any part of it available to a third party. The Licensee must not interfere with the source code, decompile or reverse-engineer the application. Breach of this provision constitutes a material breach of the Licence Agreement.
4. Price and payment terms
4.1. Use of the Online Application is subject to a fee under the Provider's current price list. All prices are stated excluding VAT. Where automatic card payment does not occur, invoices are due within 14 days.
4.2. In addition to the licence fee, the Licensee undertakes to pay for further chargeable services (training, premium technical support, additional modules) and a one-off implementation fee.
4.3. Unless agreed otherwise, the licence is automatically renewed for another equal period at the price under the then-current price list.
4.4. If the Licensee is more than 1 day late with payment, a permanent notice of the outstanding debt will appear in the Online Application. After 30 days of delay, the Provider may suspend or restrict the services.
4.5. The Licensee is not entitled to a refund of the licence fee already paid if it stops using the Online Application during the prepaid period.
5. Provider's obligations
The Provider undertakes to: provide the Online Application in agreed scope and quality; maintain the application and resolve material defects without undue delay; provide technical support to the agreed extent; process personal data in accordance with the GDPR (see our Privacy Policy).
6. Licensee's obligations
The Licensee undertakes to: pay the licence fee in time; use the application only in accordance with the Licence Agreement; not breach intellectual property rights; ensure lawfulness of data uploaded into the application; comply with the Technical Conditions; cooperate during defect resolution.
7. Service availability and liability
7.1. The Provider undertakes to ensure availability of the Online Application of at least 99% of the time per calendar month, excluding planned maintenance announced in advance and circumstances beyond the Provider's control (force majeure, third-party outages, internet failures).
7.2. The Provider's liability for damage is limited to the amount of the licence fee paid by the Licensee in the 12 months preceding the damage-causing event. This limitation does not apply to damage caused intentionally or by gross negligence, or to damage that cannot be limited under mandatory law.
8. Personal data and confidentiality
8.1. The processing of personal data is governed by our Privacy Policy. Where the Licensee uploads personal data of third parties, the Provider acts as a processor and the Licensee as the controller, in accordance with Art. 28 GDPR.
8.2. The Parties undertake to maintain confidentiality of all confidential information of the other party.
8.3. Optional Partner Services
The Provider is entitled to enable the Licensee, through the Online Application, to use supplementary services provided in cooperation with external expert partners, in particular services consisting of the processing of project documentation, preparation of material statements, technical proposals, material calculations and price offers (hereinafter "Partner Services").
The use of the Partner Services is voluntary and conditional upon an active request by the Licensee through the Online Application. The mere insertion of project documentation or other data into the Online Application does not constitute a request for the use of a Partner Service.
8.4. Transfer of project documentation
By submitting a request for a Partner Service, the Licensee, through an authorised user, expressly requests the Provider to transfer the relevant project documentation and other necessary data to the expert partner for the purpose of providing the requested service.
To the extent that the Provider acts as a processor of personal data, this request constitutes a documented instruction from the Licensee to carry out the relevant processing, provided it is in accordance with the contractual arrangement on the processing of personal data.
The transfer may be carried out by automated electronic means, via an application programming interface (API) or by another appropriate secure procedure.
8.5. Scope of data transferred
In particular, the following information may be transferred to the expert partner for the purpose of the Partner Service:
a) project documentation and its technical parts;
b) identification and location of the project;
c) technical parameters of the construction, structural design and required materials;
d) the parcel number and identification of the cadastral area, if available and their transfer is necessary and legally permissible for the specified purpose;
e) the name and surname of the investor or other related person, only if their transfer is necessary for a specific legitimate purpose and is in accordance with applicable legal regulations;
f) other information necessary to process the request for the Partner Service.
The Provider limits the scope of personal data transferred to the necessary minimum. Personal data that are not necessary for the respective purpose shall be removed or otherwise appropriately restricted before transfer.
Project documentation containing identifiers of property or related persons may not be considered anonymous even after the removal of direct identifying data.
8.6. Check for duplicate projects
In connection with the provision of Partner Services, the expert partner may verify whether a similar material calculation, price offer or other related enquiry has already been processed for a specific construction or project.
The check for duplicates may be carried out by comparing the parcel number, cadastral area or other necessary project identifiers with the expert partner's existing records.
If these data constitute personal data, their use for checking duplicates is conditional on the existence of an appropriate legal basis and compliance with the other requirements of the GDPR. The expert partner is responsible for the lawfulness of comparing data with its own database to the extent that it acts as a separate controller.
Checking for duplicates does not automatically create an entitlement to use the transferred data for other unrelated purposes.
8.7. Licensee's authorisation
The Licensee declares that it is authorised to provide the project documentation and related data for the use of the Partner Service and that in doing so it does not infringe the rights of third parties, in particular the rights of investors, authors of the project documentation and data subjects.
The Licensee is responsible for ensuring that it holds the necessary authorisations to use and make available the project documentation, including any rights arising from copyright law.
If the Licensee acts as a controller of personal data, it is also responsible for establishing an appropriate legal basis for their processing and for fulfilling information obligations towards the persons concerned.
This provision does not affect the separate statutory obligations of the Provider or the expert partner.
8.8. Handling of the transferred documentation
The project documentation and related data may be made available to the expert partner to the extent corresponding to the Licensee's request.
The expert partner is entitled to use the documents to prepare the requested calculation, material proposal, price offer and, where applicable, a legally permissible check for duplicates.
The conditions for the security, confidentiality, retention, erasure and further use of the transferred documents are governed by an appropriate contractual arrangement between the Provider and the expert partner.
The transfer of the project documentation does not create an unlimited authorisation for the expert partner to further use, disseminate, publish or use it for unrelated purposes.
8.9. Outputs of Partner Services
The result of a Partner Service may be, in particular, a material statement, a technical proposal, a calculation or a price offer from the expert partner.
The result may be made available to the Licensee directly through the Online Application.
Unless expressly stated otherwise, the material calculations and technical proposals are of an informative nature. The specific conditions of any purchase or delivery of materials are governed by the relevant offer and the terms and conditions of the expert partner.
8.10. Separation from marketing use of data
A request for the use of a Partner Service or the transfer of project documentation does not in itself grant the expert partner the right to use the personal data transferred for unrelated direct marketing or unsolicited commercial communications.
Any further marketing processing of personal data requires a separate legal basis and the fulfilment of the relevant information and other statutory obligations.
9. Term and termination
9.1. The Licence Agreement is concluded for a fixed term (minimum 12 months unless agreed otherwise) and is automatically renewed in accordance with section 3.4.
9.2. Either Party may terminate the Licence Agreement with effect at the end of the current Licence Period by giving written notice at least one month before its expiry.
9.3. The Provider may withdraw from the Licence Agreement with immediate effect in case of a material breach by the Licensee (in particular non-payment for more than 60 days, breach of licence scope, attack on the application's integrity).
9.4. Upon termination, the Licensee's access to the Online Application is closed. The Licensee may request export of its data within 30 days of termination.
10. Intellectual property
The Online Application, its source code, design, trademarks and documentation are protected by copyright and other intellectual property rights of the Provider. No transfer of rights occurs to the Licensee beyond what is expressly granted in the Licence Agreement.
11. Changes to the Terms
The Provider may amend these Terms. Any material change will be notified to the Licensee at least 30 days in advance by email or in-app notification. If the Licensee disagrees with the change, it has the right to terminate the Licence Agreement with effect from the date the amendment enters into force.
12. Final provisions
12.1. The Licence Agreement and these Terms are governed by Czech law.
12.2. Disputes will be resolved primarily out of court. The competent court for disputes is the relevant court of the Czech Republic under the Provider's registered office, subject to mandatory rules on jurisdiction in consumer matters.
12.3. These Terms enter into force on 31 January 2026.
13. Consumer addendum (B2C – EU consumer law)
This addendum applies only to natural persons (consumers) acting outside the scope of their trade, business or profession. It does not apply to B2B Licensees.
13.1. Right of withdrawal (14 days). A consumer has the right to withdraw from the Licence Agreement within 14 days of conclusion without giving any reason, in accordance with Directive 2011/83/EU on consumer rights and corresponding national laws. To exercise this right, the consumer must inform the Provider of the decision to withdraw by an unequivocal statement (e.g. email to info@stavario.com). A model withdrawal form is available on request. The Provider will refund all payments received within 14 days of being notified of the withdrawal.
13.2. Loss of the right of withdrawal. The consumer expressly agrees that performance of the service begins immediately upon registration and acknowledges that the right of withdrawal expires once the service has been fully performed at the consumer's request.
13.3. Complaints (defects of the service). Under Directive (EU) 2019/770 on digital content and digital services and the implementing laws of EU/EEA Member States, the consumer has rights in case of lack of conformity of the digital service. Complaints can be submitted to info@stavario.com. The Provider will confirm receipt without undue delay and resolve the complaint within the legally required period (in the Czech Republic and Slovakia within 30 days, in Poland within 14 days).
13.4. Out-of-court dispute resolution (ADR). Where a dispute between the Provider and a consumer cannot be resolved amicably, the consumer is entitled to use out-of-court dispute resolution:
